This Terms and Conditions Agreement<\/strong> (“Agreement”) is entered into between E GLOBALIZING TALENT, S.A. DE C.V.<\/strong>, better known as EGREGOR<\/strong>, with an address at Ignacio Carrillo No. 1273-A7, Colonia Jardines de Plaza del Sol, C.P. 44510, in Guadalajara, Jalisco (“Egregor”), and the Client<\/strong>, which refers to any individual who interacts with Egregor digitally or in person through electronic or physical means.<\/p>

Acceptance of Terms<\/strong><\/p>

By using the products and\/or services offered by Egregor, the Client accepts and agrees to comply with the terms and conditions set forth in this Agreement. If the Client does not agree with these terms, they must refrain from using the products and\/or services provided by Egregor.<\/p>

Products and Services<\/strong><\/p>

Egregor commits to providing the products and\/or services as agreed upon in the specific contracts and agreements between Egregor and the Client. The Client acknowledges that products and\/or services may be subject to changes and improvements made by Egregor.<\/p>

All programs are paused during Holy Week<\/strong> and the last two weeks of December<\/strong>, without exception.<\/p>

Egregor\u2019s Responsibility<\/strong><\/p>

Egregor commits to delivering high-quality products and\/or services and complying with all applicable laws and regulations in Mexico<\/strong>. While Egregor strives to ensure the continuous availability of its products and\/or services, it does not guarantee that they will be free of interruptions or errors.<\/p>

Client\u2019s Responsibility<\/strong><\/p>

The Client agrees to use Egregor\u2019s products and\/or services appropriately and in accordance with the instructions provided by Egregor. The Client is responsible for maintaining the confidentiality of their access credentials and any confidential information provided by Egregor.<\/p>

Client Registration and Accounts<\/strong><\/p>

To access Egregor\u2019s products and\/or services, the Client may need to create an account. The Client agrees to provide accurate and complete information during the registration process and is responsible for maintaining the confidentiality of their account and password, as well as all activities carried out under their account.<\/p>

The Client assumes responsibility for all actions performed through their account, including those resulting from the loss or theft of access information, and releases Egregor<\/strong> from any liability arising from the misuse or disclosure of their password.<\/p>

If the Client suspects unauthorized access to their account, they must notify Egregor<\/strong> immediately.<\/p>

Payments and Billing<\/strong><\/p>

The Client agrees to pay Egregor the agreed-upon amounts under the payment terms established in specific contracts and agreements. Egregor will provide invoices and payment records to the Client in accordance with applicable tax laws in Mexico<\/strong>. Egregor does not offer refunds<\/strong> for any of its products and\/or services.<\/p>

Intellectual Property<\/strong><\/p>

The Client acknowledges that all intellectual property rights<\/strong> related to the products and\/or services provided by Egregor<\/strong>, including but not limited to texts, images, videos, logos, and educational materials<\/strong>, are the exclusive property of Egregor<\/strong>. The Client does not acquire any ownership rights over such products and\/or services and is strictly prohibited from reproducing, distributing, licensing, modifying, or creating derivative works<\/strong> from them.<\/p>

If the Client, its affiliates, or any of their employees, officers, administrators, advisors, associates, partners, representatives, commissioners, subcontractors, attorneys, consultants, or related persons breach their confidentiality and non-disclosure obligations<\/strong> and partially or fully disclose confidential information, they shall pay Egregor<\/strong> a contractual penalty of USD 500,000.00<\/strong>. This penalty is without prejudice<\/strong> to any other legal actions that may be taken, including violations of intellectual or industrial property rights<\/strong>, as well as the crime of disclosure of secrets<\/strong>, as established in Articles 210, 211, and 211 BIS<\/strong> of the Federal Penal Code of Mexico<\/strong> and its equivalent provisions in other Mexican states.<\/p>

Limitation of Liability<\/strong><\/p>

The Client shall be responsible for damages and losses<\/strong> caused to Egregor<\/strong> or third parties resulting from non-compliance with this Agreement. In such cases, the Client agrees to hold Egregor, its affiliates, subsidiaries, employees, officers, and shareholders harmless<\/strong> from any liability attributable to the Client\u2019s actions or omissions.<\/p>

Termination<\/strong><\/p>

Egregor may suspend or terminate a product or service at any time, without prior notice, if the Client violates these terms and conditions or for any other reason at Egregor\u2019s sole discretion.<\/p>

Dispute Resolution<\/strong><\/p>

Any dispute or claim related to this Agreement shall be resolved through good-faith negotiations<\/strong> between the parties. If no agreement is reached, the parties agree to submit to the jurisdiction of the competent courts in Guadalajara, Jalisco, Mexico<\/strong>.<\/p>

Privacy Policy<\/strong><\/p>

The protection of your privacy is important to us. Please refer to our Privacy Notice<\/strong> to understand how we collect, use, and protect your personal information.<\/p>

Modifications to the Agreement<\/strong><\/p>

Egregor reserves the right to modify this Agreement unilaterally<\/strong> at any time. Modifications will become effective upon notification to the Client through Egregor\u2019s website. The Client acknowledges that continued use of Egregor\u2019s products and\/or services after notification of changes constitutes acceptance of the revised terms.<\/p>

General Provisions<\/strong><\/p>
